LBO Luxembourg Business Origination
Constitution
Company formation, management and oversight in Luxembourg
LBO Constitution accompanies the creation of Luxembourg companies from the initial intent to operational launch. SARL, SARL-S, SA, SCSp: each structure meets a specific purpose, and we direct our clients toward the right choice based on their actual project, not a default template. Beyond incorporation, we provide a registered office at our Contern site, transparent accounting follow-up, and continuous attention to AML/KYC and CSSF requirements.
Why LBO Constitution
-
01
Compliance first
AML/KYC procedures and CSSF requirements are integrated from day one, not bolted on at audit time. We protect our clients by protecting the structure itself.
-
02
16 years of operational activity
Our oldest clients have been with us since 2010. This longevity translates into expertise on edge cases that occasional providers do not encounter.
-
03
Integrated post-incorporation support
The registered office, accounting, secretariat, and administrative follow-up are handled by the same team that handled the incorporation. No coordination break, no information loss.
What we do

Who it's for
- Entrepreneurs résidents ou non-résidents souhaitant implanter une société au Luxembourg
- Investisseurs internationaux cherchant un véhicule SOPARFI conforme
- Particuliers en projet d'expatriation cherchant un accompagnement administratif complet
What we do not do
- No chartered tax advisory (referral to a licensed tax firm for complex structuring)
- No statutory audit (entrusted to independent licensed auditors when company size requires it)
- No notarial deeds (signed before a Luxembourg notary — we coordinate but do not substitute)
Frequently asked questions
Les interrogations qui reviennent souvent sur LBO Constitution. Si la vôtre n'est pas listée, écrivez-nous.
What types of companies can you incorporate in Luxembourg?
We accompany the creation of Luxembourg SARL, SA, civil-law companies (sociétés civiles) and SOPARFI. Each structure serves a specific purpose: SARL for operational activity, SA for structures with multiple shareholders, civil-law company for asset holding, SOPARFI for international investments. We direct based on your actual project.
Do I need to be a Luxembourg resident to set up a company?
No. Luxembourg welcomes international entrepreneurs and investors. We accompany non-residents in setting up their structure, establishing the physical registered office, and managing administrative follow-up. If residential relocation to Luxembourg is also being considered, we can coordinate the expatriation project.
How long does it take to incorporate a Luxembourg company?
Counting from the moment all documents are gathered (identification, business license application, structuring decisions): 2 to 4 weeks for a SARL or SARL-S, 4 to 8 weeks for a SA. The timeline depends on the notary, the business license validation by the Ministry of the Economy, and AML/KYC checks. We deliberately do not promise faster timelines: rushing compliance creates risks for the structure.
What is the minimum capital required?
SARL: €12,000 fully paid up. SARL-S (simplified): €1 to €12,000 depending on the case. SA: €30,000 with at least one quarter paid up at incorporation. These amounts are deposited in a Luxembourg bank account before incorporation. The choice of structure depends on the project, not just on the capital available.
Do you handle bank account opening?
We coordinate the opening with Luxembourg banks but do not guarantee the result: the bank conducts its own KYC review and may refuse for reasons it does not disclose. We work with several institutions to maximise the chances of opening, including for non-residents and international structures.
What about taxation and accounting after incorporation?
We handle accounting entry, VAT returns, and annual accounts preparation. For complex tax optimisation (international transfer pricing, holding structuring, double taxation treaty applications), we refer clients to specialised tax firms with whom we work in parallel.
